Terms and Conditions
These Terms of using Studio (the “Terms”) constitute a legally binding agreement between the User and FinCatch Limited (“FinCatch”, “we”, “us”) governing access to and use of FinCatch Studio (the “Service”). By accessing or using the Service, the User accepts and agrees to be bound by these Terms.
Defined Terms
- 1.1FinCatch: FinCatch Limited, a Hong Kong corporation, creator of the relationship-intelligence operating environment and data infrastructure.
- 1.2Studio / The Service: FinCatch Studio, the AI research environment for investment research, modeling, and analysis.
- 1.3FinCatch Analyst: The specialized multi-agent orchestrator operating within Studio.
- 1.4User: The natural person or legal entity accessing the Service under a paid or trial subscription.
- 1.5User Data: All proprietary information, documents, models, and notes uploaded to the Library or Agent Memory by or on behalf of the User.
- 1.6Output: All research deliverables, investment memos, financial models (including
.xlsxspreadsheets), presentations (.pptxor.deck.json), and chart specifications generated by the Service for the User. - 1.7Market Graph: FinCatch’s proprietary knowledge graph of corporate entities, supply chains, and market catalysts.
Acceptance & Eligibility
Access to the Service is restricted to licensed investment professionals, institutional entities, or individuals acting under professional supervision. The User represents that it possesses the requisite legal authority to bind its organization.
No Investment, Fiduciary, or Professional Advice; Simulated Outputs Only
- 3.1Analytical Tool Only: The Service is an AI research environment and productivity tool. It does not provide investment, legal, accounting, tax, or regulatory advice, and does not act in any fiduciary capacity. FinCatch is not a registered investment adviser, broker-dealer, financial analyst, or asset manager under the Securities and Futures Ordinance (Cap. 571 of Hong Kong), the U.S. Investment Advisers Act of 1940, or equivalent financial regulatory regimes in any jurisdiction.
- 3.2Simulated Ratings and Price Targets: If the Service, FinCatch Analyst, or any analytical Skill (such as
stock-pitchor valuation models) generates, displays, or suggests a rating (e.g., “Buy”, “Hold”, “Sell”, “Overweight”), price target, financial projection, or risk score, such output is strictly an automated, hypothetical mathematical calculation resulting from the User’s prompts, input assumptions (such as discount rates, growth multiples, or peer sets), and public disclosures. Such outputs do NOT constitute an editorial opinion, recommendation, endorsement, or financial forecast by FinCatch. FinCatch disclaims any intent to influence the investment decisions of the User or any third party. - 3.3Prompt-Driven Parametric Intent: The User acknowledges that the agent functions as an automated drafting and computational assistant that executes according to the User’s direction. The framing, tone, and conclusions of any generated Output reflect the parameters, uploaded sources, and instructions provided by the User.
- 3.4No Suitability Assessment: FinCatch has not evaluated, and takes no responsibility for evaluating, the financial condition, risk tolerance, liquidity requirements, or investment mandate of the User or any client of the User. The Service does not determine the suitability of any investment or strategy.
- 3.5Forward-Looking Statements: Any financial models, discounted cash flow calculations, forecasts, or growth projections generated by the Service are inherently uncertain forward-looking simulations. Actual market performance, corporate earnings, and macroeconomic conditions may differ materially from modeled results. FinCatch assumes no liability for any reliance on forward-looking estimates.
- 3.6User Sole Discretion: The User retains sole and exclusive responsibility for all investment decisions, trading strategies, portfolio allocations, and compliance with applicable legal, fiduciary, and professional standards.
Operating Environment Boundary; Not an Infallible Source of Truth
The Service provides an operating environment for coordinating multi-agent workflows, managing private libraries, traversing relationship graphs, and compiling financial disclosures and licensed market data. While the Service executes automated accounting invariant tests (Assets = Liabilities + Equity) and programmatic passage-level substring verification (CorpusCite), FinCatch does not warrant that all financial figures, restatements, or company relationships are complete, accurate, or error-free. The User must exercise independent professional judgment and inspect source citations before relying on any Output.
Generative AI, Probabilistic Limitations, and User Audit Duty
- 5.1Probabilistic Nature of LLMs: The Service is powered by frontier foundation models coordinated by FinCatch’s specialized orchestrator. The User acknowledges that large language models are probabilistic systems that can occasionally generate plausible-sounding but factually inaccurate statements, misinterpret ambiguous disclosures, or reflect biases present in underlying training data.
- 5.2Verification Primitives: FinCatch incorporates mechanical verification checks (e.g.,
CorpusCite,ReportQc, and independent reviewer passes) to enhance output traceability and surface mathematical or citation errors. However, these tools are technological aids and do not guarantee infallibility. - 5.3Affirmative Duty to Audit: The User agrees to independently review, audit, and verify all facts, citations, and formulas in any Output before making an investment decision, presenting to an Investment Committee, or distributing research to clients. The User must never treat AI-generated draft text as a substitute for primary-source verification.
User Responsibilities & Boundaries
The User is responsible for: (a) reviewing and approving all Outputs prior to reliance or distribution; (b) ensuring the legality and confidentiality of uploaded User Data; (c) configuring and supervising all Skills and scheduled tasks; and (d) maintaining role-based access permissions within its tenant. The User shall not use the Service to attempt automated trade execution, modify broker positions, or interface directly with clearing houses or market exchanges.
Account Security & Tenant Integrity
The User must enforce multi-factor authentication (2FA) and safeguard access credentials. The User is responsible for all activity conducted under its tenant and must immediately report any suspected credential compromise to team@fincatch.io.
Acceptable Use
The User agrees not to: (a) reverse-engineer, decompile, or extract the source code or graph structures of the Service; (b) use the Service or its Outputs to develop, train, or benchmark competing financial AI models or market graphs; (c) systematically scrape or extract Market Graph topologies for redistribution; (d) upload material that infringes third-party intellectual property or violates insider trading regulations; (e) bypass rate limits, storage quotas, or security safeguards; or (f) impair the integrity of FinCatch’s cloud infrastructure.
Intellectual Property, Ownership, and Data Rights
- 9.1FinCatch Technology: The Service, FinCatch Studio, the underlying software, UI, Market Graph, catalyst event database, and proprietary algorithms remain the exclusive property of FinCatch Limited and its licensors.
- 9.2User Data Ownership: The User retains all right, title, and interest (including all intellectual property rights) in and to all User Data (including documents uploaded to the Library, internal research notes, Agent Memory inputs, and custom Skills). FinCatch claims zero ownership over User Data.
- 9.3Limited Processing License: The User grants FinCatch a non-exclusive, worldwide, royalty-free license to host, store, parse, index, and process User Data solely to deliver the Service to the User, strictly within tenant isolation boundaries.
- 9.4Zero Model Training on Private Data: FinCatch will NOT use User Data or User Outputs to train, fine-tune, or improve any public, shared, or third-party foundation models. Private research stays private to the User’s tenant.
- 9.5Output Ownership: As between FinCatch and the User, the User owns all right, title, and interest in and to the Output produced by the Service for the User (including generated research reports, financial models,
.xlsxspreadsheets, and.pptxdecks). The User has the unrestricted right to use, modify, distribute, publish, and commercialize such Output for its internal and client-facing business purposes. FinCatch claims no ownership of the Output. - 9.6Nature of Public Financial Outputs (AI Similarity): The User acknowledges that the Service analyzes primary public filings and market data. Because financial disclosures and analytical methodologies are shared across the investment industry, similar questions asked by different users may yield comparable or identical outputs. User ownership of its specific Output does not confer a monopoly over underlying public financial facts or mathematical formulas, nor does it preclude FinCatch from generating comparable analyses for other users.
Termination, Suspension, and Data Export
Either party may terminate access at any time upon written notice. FinCatch may suspend access immediately upon material breach, non-payment, or regulatory mandate. Upon termination, FinCatch provides a thirty (30) day export window for the User to retrieve all User Data and Outputs, after which data may be securely deleted.
Subscription Fees, Storage Tiers, and Payment
The User agrees to pay all applicable subscription fees according to the selected pricing tier. Subscriptions are billed in advance and are non-refundable except where mandated by law.
- 11.1Library Storage Quotas: Subscriptions include designated private document storage quotas for the Library. Usage exceeding the quota requires an upgrade or payment of supplemental storage fees.
- 11.2Plan Changes: Upgrades take effect immediately on a prorated basis; downgrades take effect at the start of the subsequent billing period. FinCatch may modify pricing upon at least thirty (30) days’ advance notice prior to renewal.
Service Evolution
FinCatch continuously refines its models, graph datasets, and analytical skills. FinCatch may modify or discontinue specific features, provided that FinCatch will not terminate the core Service without at least ninety (90) days’ advance written notice.
Disclaimer of Warranties and Limitation of Liability
- 13.1Disclaimer: To the maximum extent permitted by law, the Service and all Outputs are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
- 13.2Liability Cap: To the maximum extent permitted by applicable law, FinCatch’s total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by the User to FinCatch in the twelve (12) months preceding the incident giving rise to liability.
- 13.3Exclusion of Consequential Damages: In no event shall FinCatch be liable for lost profits, lost trading gains, loss of data, loss of business opportunity, or any indirect, incidental, special, consequential, or punitive damages, regardless of the legal theory asserted.
Third-Party Infrastructure, Foundation Models & Service Providers
- 14.1Upstream Dependencies & Discretionary Substitution: The User acknowledges that the Service operates across and relies upon third-party cloud hosting, storage, and compute/GPU infrastructure, artificial intelligence foundation model API providers, telecommunication networks, and external market data vendors. FinCatch reserves the right to engage, substitute, or replace infrastructure and model providers at its sole discretion.
- 14.2Disclaimer of Upstream Interruptions & Latency: FinCatch shall not be liable for any delay, failure, downtime, rate-limiting, degradation, or disruption of the Service caused by: (a) cloud hosting regional outages or hardware maintenance; (b) downtime, capacity constraints, or API rate-limiting by third-party foundation model providers; or (c) network transit failures, telecommunications disruptions, or cyberattacks directed at upstream providers.
- 14.3Upstream Model Drift and Provider Changes: Foundation model providers periodically alter or update model weights, endpoints, and safety filters. FinCatch does not warrant that third-party model outputs will remain identical over time, and FinCatch is not liable for changes in analytical style, latency, or model behavior resulting from upstream modifications.
- 14.4Third-Party Data Feeds: Market prices, disclosures, and fundamental data are ingested from external vendors and public registries “as is”. FinCatch disclaims liability for inaccuracies, transmission delays, reporting omissions, or format alterations in upstream source data.
User Indemnification (Hold Harmless)
The User agrees to defend, indemnify, and hold harmless FinCatch Limited, its affiliates, directors, officers, employees, agents, and licensors from and against any and all third-party claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal and accounting fees) arising out of or relating to: (a) the User’s use of the Service or reliance on any Output, including any investment decision, capital allocation, trading execution, or portfolio adjustment made by the User or its affiliates; (b) any breach by the User of these Terms, acceptable use policies, or applicable financial regulations (including market abuse rules and material non-public information prohibitions); (c) any claim that User Data uploaded to the Library or custom Skills infringes or misappropriates any third-party intellectual property, trade secret, or privacy right; or (d) any dissemination, publication, or provision of Output by the User to clients, investors, regulators, or the public without independent professional audit and verification.
Compliance, Auditability, and Verification
Built-in verification tools (CorpusCite, ReportQc) and immutable logs are provided to support the User’s internal supervisory workflows. They do not replace the User’s statutory compliance officer or regulatory reporting obligations. The User retains ultimate responsibility for regulatory compliance under all applicable laws.
Service Status and Coverage
Studio operates as an active, evolving research environment. The Market Graph currently covers approximately 1,522 GICS-classified public equities with structured supply-chain linkages and ~390k canonical event catalysts, continuously expanding. Absence of a relationship indicates lack of indexing, not conclusive non-existence in the physical market.
Privacy
Personal data processing inside Studio is governed by the Studio Privacy Notice at studio.fincatch.io/privacy, incorporated into these Terms by reference.
Force Majeure, Governing Law, Dispute Resolution, and Contact
- 19.1Force Majeure: Neither party shall be liable for delay or failure in performance (excluding payment obligations) resulting from acts of God, labor disputes, civil unrest, war, terrorism, government actions, pandemics, cloud hosting failures, power grid collapses, cyberattacks, or telecommunications transit disruptions.
- 19.2Governing Law & Jurisdiction: These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.
